Important: Pursuant to the bankruptcy court’s order approving the Joint Motion Pursuant to Sections 363 and 105 of the Bankruptcy Code, and Bankruptcy Rules 9019 and 7023 to (I)(a) Preliminarily Approve the Settlement Agreement Regarding Long-Term Disability Plans and Claims, (b) Conditionally Certify a Class for Settlement Purposes Only, (c) Approve the Notice Procedures, and (d) Schedule a Fairness Hearing; and (II)(a) Finally Approve the Settlement Agreement, (b) Finally Certify a Class, (c) Authorize the Debtors to Terminate the LTD Plans, and (d) Grant Related Relief (the “Joint Motion”), the U.S. Debtors terminated the LTD Plans, as defined in the Joint Motion, in their entirety and have discontinued the provision of benefits thereunder, as well as the continuation of coverage through COBRA, as of June 30, 2013. Please note that the final order approving the relief sought in the Joint Motion is binding on all individuals who were receiving or were eligible to receive benefits under the LTD Plans, including the U.S. Debtors’ COBRA participants. Termination of Long Term Investment Plan / 401(k
The Nortel Networks Long Term Investment Plan (LTIP) has been terminated. A favorable determination on an application for a determination on the qualification of the LTIP under Section 401(a) was received from the Internal Revenue Service on September 18, 2013 allowing the LTIP to proceed with the final distributions. All account balances in the plan have been transitioned to Retirement Clearinghouse (RCH) as of December 16, 2013. Please see the letter mailed to you in October 2013 for more information. If you have any questions about your balance please contact RCH at 1-877-908-9454.
If you have an outstanding check, it must be cashed within 60 days of the issuance date or the check will be canceled and the amount will be transferred directly to a Safe Harbor Individual Retirement Account (IRA) in your name maintained with RCH. Pursuant to federal regulations, the money in the IRA will be invested in a product designed to preserve principal and provide a reasonable rate of return and liquidity1. Account service fees for your Retirement Clearinghouse IRA are $3.50 per month in addition to a distribution fee of $50 if outside RCH’s network or an IRA consolidation fee of $49 for consolidation to a new account. Distributions from the Plan have significant tax consequences. Please see the letter mailed to you in October 2013 for more information.

Retiree Settlement and Termination of the Retiree Welfare Plan
On April 2, 2013, the court entered an order (the “Retiree Approval Order”) approving the settlement agreement between the Debtors and the Retiree Committee (the “Retiree Settlement Agreement”). Pursuant to the terms of the Retiree Settlement Agreement and the Retiree Approval Order, Nortel terminated the Retiree Welfare Plans, as defined in the Retiree Settlement Agreement, and discontinued the provision of benefits thereunder as of June 30, 2013.
No claims relating to periods after June 30, 2013 will be paid under the Retiree Welfare Plans. Claims for the payment or reimbursement of benefits incurred under the Retiree Welfare Plans prior to June 30, 2013 must be submitted for processing before the earlier of (i) the current deadline to submit a claim under the relevant Retiree Welfare Plan, or (ii) December 30, 2013. Claims submitted after the relevant deadline will not be paid. For the avoidance of doubt, claims submitted on time still remain subject to approval.

Long Term Disability Settlement and Termination of the LTD Plan
On May 1, 2013, the court entered an order (the “LTD Approval Order”) finally approving the settlement between the Debtors, the Official Committee of Long-Term Disability Participants (the “LTD Committee”) and certain members of the LTD Committee (the “LTD Settlement Agreement”). Pursuant to the terms of the LTD Settlement Agreement and the LTD Approval Order, Nortel terminated the employment of the long-term disabled employees, terminated the LTD Plans, as defined in the LTD Settlement Agreement, and discontinued the provision of benefits thereunder as of June 30, 2013.No claims relating to periods after June 30, 2013 will be paid under the LTD Plans. Claims for the payment or reimbursement of benefits incurred under the LTD Plans prior to June 30, 2013 must be submitted for processing before the earlier of (i) the current deadline to submit a claim under the relevant LTD Plan, or (ii) December 30, 2013.
